These Terms and Conditions (“Terms”) govern the sale of products and services provided by Legacy Smart System LLC (“Company,” “we,” “us,” or “our”) to its clients (“Customer,” “you,” or “your”). By engaging with Legacy Smart System LLC for products or services, you agree to abide by these Terms.

1. Scope of Services
• Legacy Smart System LLC provides custom installation, design, and integration services, including but not limited to audio-visual systems, lighting, security systems, and home automation.
• Services and installations are performed according to industry standards, and all equipment is supplied with applicable manufacturer warranties.

2. Estimates and Pricing
• Estimates provided are valid for 30 days unless otherwise stated.
• Pricing is subject to change due to fluctuations in product costs, availability, or unforeseen project complexities. Any changes will be communicated to the Customer in writing.

3. Payment Terms
• A deposit of 50% is required to secure your project, with the remaining balance due upon project completion.
• Payments can be made via cash, check, credit card, Zelle, or other agreed-upon methods.
• Late payments may incur additional fees, including but not limited to interest charges of 2% per month.

4. Warranties
• The Company provides a one-year warranty on installation services. Equipment warranties are subject to the manufacturer’s terms.
• Any defects or malfunctions caused by misuse, neglect, or unauthorized modifications will void warranties.

5. Limitations of Liability
• Legacy Smart System LLC is not liable for damages arising from the misuse, improper handling, or unauthorized alterations of products or installations.
• We are not responsible for delays caused by events beyond our control, including natural disasters, supply chain disruptions, or third-party actions.

6. Indemnification
• The Customer agrees to indemnify and hold harmless Legacy Smart System LLC, its employees, and its owner from any claims, lawsuits, damages, or liabilities arising from:
a. Improper use or unauthorized alteration of our installed systems.
b. Failure to maintain systems as advised.
c. Injuries or damages caused by third-party contractors or unauthorized individuals.

7. Dispute Resolution
• Any disputes shall first be resolved through good-faith negotiations. If unresolved, disputes will be subject to binding arbitration under the rules of the American Arbitration Association.
• The venue for arbitration shall be the state of New Jersey, and each party will bear its own legal costs.

8. Limitation of Legal Claims
• Any legal claims against Legacy Smart System LLC must be filed within one (1) year from the date of service or installation completion.
• Claims filed beyond this period are void and will not be entertained.

9. Confidentiality
• Any information shared with Legacy Smart System LLC, including project designs, plans, and personal data, will be kept confidential and not disclosed to third parties without prior consent, except where required by law.

10. Force Majeure
• Legacy Smart System LLC is not liable for failure to fulfill contractual obligations due to unforeseen events such as natural disasters, government restrictions, or labor strikes.

11. Non-Disparagement
• Customers agree not to post defamatory or false reviews about Legacy Smart System LLC online or in any public forum. Disparagement claims will be subject to legal action.

12. Termination of Services
• The Company reserves the right to terminate services for non-payment, breach of Terms, or other reasonable cause.

13. No Personal Liability
• The owner and employees of Legacy Smart System LLC are not personally liable for claims, damages, or losses arising from the operation of the Company.

14. Governing Law
• These Terms shall be governed by and construed under the laws of the State of New Jersey, without regard to its conflict of laws principles.

15. Entire Agreement
• These Terms constitute the entire agreement between the Customer and Legacy Smart System LLC and supersede all prior agreements, understandings, or representations.

Acknowledgment

By engaging Legacy Smart System LLC, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
